The New York Private Equity Network (NYPEN) and Ernst & Young LLP invite you to attend the 2008 NYPEN Accounting & Tax Education session on "Exit Readiness", to be held on Wednesday June 4, 2008.

In today's economic environment, it is becoming increasingly more challenging for private equity firms to exit their investments in portfolio companies.  Accordingly, private equity investors and their portfolio companies need to be in a perpetual "state of readiness" to be able to meet the scrutiny of buyers and their advisors during the due diligence process.

The "Exit Readiness" session will cover the rationale behind more rigorous seller preparation in today's economic and transaction climate.  It will focus on key issues and best practices in exit readiness preparation from a sell-side perspective that PE firms and their portfolio companies should contemplate when exiting an investment.  Further, the session will walk through specific examples of where exit readiness can be critical in situations where the portfolio company may have had rapid growth, the portfolio company grew as a result of a roll-up strategy and or some portion of the portfolio company is being carved-out for sale.

The discussion will be led by Ernst & Young's Susan Prior, the Transaction Advisory Services sell-side leader for New York and Jonathan Lawrence, the Transaction Advisory Services Operations and Technology leader.

What you can expect to learn:

Why exit readiness is crucial in today's environment
Key issues and best practices to consider
