Class/Series Overview:
The NYPEN Legal Series is designed to teach private equity professionals the fundamentals of structuring and documenting transactions from the perspective of the investor. The March 30th class will focus on economic implications and control issues in certificates of incorporation and stock purchase agreements. In order to highlight certain key issues, the class will review sample versions of each document, as well as various anti-dilution provisions/mechanisms.
