On Tuesday, June 9, 2009, the New York Private Equity Network (NYPEN) and Ernst & Young LLP are pleased to invite you to a roundtable discussion, “Portfolio Company Board Membership, Effectively Serving as an Audit Committee Member,” moderated by Ernst and Young.

The evening’s theme will be designed to allow a small-group of senior private equity investment professionals to network and share thoughts on key issues and risks facing board of director and audit committee members.   The evolving business landscape has recently challenged boards and audit committees in their governance efforts related to many issues, including the sustainability of a Company’s business model, effectively managing financial reporting and shareholder communications, and executing transactions in today’s environment.  Now more than ever before, committee members must think through all aspects of risk management, from the perspective of properly insulating oneself from risks attendant to committee membership, to the overarching fiduciary responsibilities commiserate with board membership.

The discussion will be moderated by Jonathan Shames, a senior partner in Ernst and Young’s Private Equity Services Practice.  Jonathan has previously served as the audit partner for several public, Fortune 1000 companies as well as a number of private equity-backed entities.  He also developed and led an Ernst & Young-sponsored audit committee roundtable in the DC area for a number of years.  Additionally, a limited group of senior partners from EY’s risk, assurance, and transaction practices will participate to add to the commentary and share insights from client experiences.
