The New York Private Equity Network ("NYPEN") and Marsh Inc are pleased to invite you to an education session addressing transaction risk solutions that some private equity funds are using to improve their bids by bridging gaps in certain often-contentious negotiation points.  The session will be led by professionals from Marsh's Private Equity and M&A Group and will be held on Tuesday, June 8, 2010 at 7pm.

What You Can Expect to Learn
This seminar will discuss the types of situations that are being addressed in today's M&A environment through established (but not always well known) insurance solutions.  The seminar will also discuss when these solutions are most appropriate, their cost and criteria for eligibility.  Examples of issues that can be addressed with these solutions include:

•Differing views regarding escrow amounts
•Disagreements regarding indemnification caps for breaches of reps and warrantees
•Assumption of potential tax risks associated with identified tax positions taken by the seller that the buyer may assume post-closing
•Assumption of identified contingencies or litigation involving the seller that the buyer must pick up post-closing
