The New York Private Equity Network ("NYPEN") and Kirkland & Ellis LLP are pleased to invite you to "Purchase Agreement Indemnification Provisions: Understanding How to Maximize Their Value and What the Words Really Mean," a session in the NYPEN Advanced Legal Series, to be held on Monday, July 12, 2010. 

Class Overview
This advanced session featuring both corporate attorneys and litigators who have experience negotiating, using and litigating indemnification provisions, will provide an in-depth analysis of the negotiation of indemnification provision, both from the perspective of buyers and sellers and will also cover how the words play out when indemnifications actually get tested.  This session will feature a sample indemnification provision to focus discussion.

Questions answered will include:
* What are market standards for survival periods, caps, baskets and carveouts/exceptions?
* Where should one be mindful of when negotiating indemnification procedures?     
* What happens when these provisions get tested in court?
