NYPEN: Human Capital Due Diligence 101

The New York Private Equity Network ("NYPEN") and Mercer are pleased to invite you to an education session on Human Capital Due Diligence. The seminar will focus on best practices and areas for evaluation when conducting financial and operational assessments, including how investors can better contemplate value-enhancing post-closing solutions. The session will be led by senior consultants from Mercer's Private Equity and M&A Business and will be held on Tuesday, September 28, 2010 at 7pm.

What You Can Expect to Learn
Attendees will learn the fundamentals of human capital diligence and how the HR/benefits diligence workstream fits into an acquisition process and into post-close business improvement.  Particular focus will be placed on key issues on which an investor should be focused. 

Representative topics will include:
• How to understand and validate a seller’s assumptions about HR/benefits costs so that they are properly reflected in the financials and purchase price
• How to identify problems in human capital related matters early (in diligence and in ownership) and how to determine materiality and to develop a strategy to remedy the problems
• How to think about country-specific programs and liabilities in cross-border transactions
