The New York Private Equity Network ("NYPEN") and Kirkland & Ellis LLP are pleased to invite you to the "Letters of Intent and Term Sheets" class in the NYPEN Legal Series, to be held on Monday, February 28, 2011. 

Class Overview
This class is part of the NYPEN Legal Series that provides a fundamental overview of the structuring and documenting of equity investments from the perspective of private equity and venture capital investors. This hands-on, practical class will focus on helping private equity professionals efficiently draft, review and effectively negotiate letters of intent and term sheets. The session will feature sample letters of intent and term sheets for a range of transactions including minority growth equity investments and buyout/control transactions to focus the discussion.

Areas covered will include:
• Discussion of key terms including: terms of security to be invested in; liquidity and exit rights; and governance.
• Outlining of some sector or deal-specific terms.
• Tips for creating a practical document that outlines key terms without getting bogged down in too many details.
