The New York Private Equity Network ("NYPEN") and Kirkland & Ellis LLP are pleased to invite you to the "Stockholders Agreement & Registration Rights Agreement" class in the NYPEN Legal Series, to be held on Monday, March 28, 2011.  

Class Overview
This hands-on, practical class will provide an overview of stockholders agreements and registration rights agreements.  The Stockholder Agreement is one of the critical documents in any private transaction where the private equity sponsor is investing alongside other sponsors, significant minority investors, or management. While highly technical, Registration Rights Agreements have become critical documents as private equity sponsors increasingly see initial public offerings as an important exit option.  This highly interactive session will provide an opportunity for participants to understand the key aspects of these documents and their impact on:

- Governance (e.g. board seats, veto rights, information rights)
- Liquidity (e.g. tag along and drag along provisions, rights of first offer and refusal, puts and calls, forced IPO provisions, coordinating sales between multiple sponsors)
- Ability to effectuate public exits (what are demand rights and why do you need them? what are the relevant securities law considerations?)

The session will also focus on what market is, both for the controlling sponsor and for minority investors (including limited partner co-investors). This session is designed to function both as a stand-alone session and as a follow up to the previous session on Letters of Intent.
