NYPEN Legal Series: Equity Term Sheets

The New York Private Equity Network ("NYPEN") and Kirkland & Ellis LLP are pleased to invite you to the "Equity Term Sheets" class in the NYPEN Legal Series, to be held on Monday, September 30, 2013.
 
This hands-on, practical class will focus on helping private equity professionals efficiently draft, review and effectively negotiate equity term sheets.  The session will feature a sample term sheet, that will be used to discuss a range of transactions, including minority growth equity investments and buyout/control transactions.

Areas covered will include:
- Discussion of key terms including: terms of security to be invested in; liquidity and exit rights; and governance.
- Outlining of some sector or deal-specific terms.
- Tips for creating a practical document that outlines key terms without getting bogged down in too many details.

Class Overview
This class is part of the NYPEN Legal Series that provides a fundamental overview of the structuring and documenting of equity investments from the perspective of private equity and venture capital investors.  The seminar will be highly interactive and will use a sample term sheet to focus discussion on structuring, economics, governance, and legal issues.
