NYPEN Advanced Legal Series - Structuring Transactions Without a "Financing Out"

The New York Private Equity Network ("NYPEN") and Kirkland & Ellis are pleased to announce the launch of the Advanced Segment of the NYPEN Legal Series. The first session in the Advanced Segment will be held on Tuesday, June 27th, and will address: Structuring Transactions Without a "Financing Out." (details below)

Attendee Experience Level:
Advanced Sessions will bring together a small group (10-15 people) of experienced investment professionals for an interactive roundtable discussion about one or more very specific, complex issues that arise in structuring and documenting private equity and venture capital transactions. While there is no minimum title or tenure requirement, attendees are expected to have substantial deal experience and should be prepared to contribute actively to the discussion.

Session Overview:
The June 27th roundtable will focus on practical and legal approaches to completing transactions without the benefit of a contractual "out" based on the availability of financing. The session will begin with a very brief overview of "financing outs," followed by an interactive and largely attendee-driven dialogue about current trends, implications and structuring options.
