The New York Private Equity Network ("NYPEN") and Ernst & Young LLP are pleased to invite you to the July session in the 2007 NYPEN Accounting & Tax Series, which will focus on Post-Closing Working Capital Adjustments and Their Effects on Purchase Price.
The session, to be held on July 24th, will use a case study format to demonstrate how to structure post-closing working capital adjustments to mitigate risk and optimize price. After a brief overview of the topic, participants will review an actual case which has been written to effectively highlight key points on the topic and provide a forum for discussion and questions.
At the end of this session you will have a working knowledge of:
(1) Various forms of post-closing working capital adjustment mechanisms
(2) Techniques to optimize working capital targets and working capital requirements
(3) The impact of closing balance sheet accounting on the purchase price adjustment
