The New York Private Equity Network ("NYPEN") and Kirkland & Ellis LLP are pleased to invite you to the "Credit Documents - Debt Commitment Papers" class in the NYPEN Legal Series, to be held on Monday, November 1, 2010.

Class Overview
This hands-on, practical class will focus on helping private equity professionals efficiently review and effectively negotiate the key aspects of debt commitment papers. The past three years have been amongst the most eventful in the history of the debt markets. From the depths of 2008 and early 2009, the market for leveraged loans and high yield debt has recovered significantly, if not quite returning to the pro-borrower heights of 2007. This highly interactive session will provide an opportunity for participants to learn what the "new normal" is in debt terms. The session will feature a sample commitment letter, term sheet and fee letter to focus the discussion.

Areas covered will include:
· An update on market conditions
· Discussion of key terms
· Tips for efficiently reviewing commitment documents
