The New York Private Equity Network ("NYPEN") and Kirkland & Ellis LLP are pleased to invite you to the "Developments in Take Privates in 2013" class in the NYPEN Legal Series, to be held on Monday, November 4, 2013.

In this interactive session, the panelists will use their experience as counsel to the acquirers in one of the most significant sponsor transactions in 2013 – the acquisition of H.J. Heinz – to discuss the state of the art in take private transactions. This session is targeted towards more experienced private equity professionals and will assume the participants have familiarity with the general contours of a take private transaction. The discussion will include:
- The latest developments in go-shops, no-shops and “window shops.”
- Club Deal governance issues before and after the transaction.
- Issues related to management participation in a take private.
- Recent important developments in Delaware law that make a two-step tender offer transaction significantly more attractive.
